1. About Us

Private Transcriber AI is developed and published by Craftby, a sole proprietorship registered in the Republic of Georgia. For any inquiries, contact us at support@craftby.dev.

2. Acceptance of Terms

By downloading, installing, or using Private Transcriber AI ("the Application"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Application.

3. Privacy & Local Data Processing

Private Transcriber AI is designed as a "local-first" application:

  • All audio processing and transcription happens directly on your device.
  • Your audio files and transcribed text are never uploaded to our servers or any third-party services.
  • We do not collect, store, or have access to your audio or transcription content.

4. License & Intellectual Property

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Application for your personal or internal business purposes in accordance with these Terms.

The Application, including its code, design, and branding, remains the intellectual property of Craftby. The Application utilizes local open-source large language models, which are subject to their respective licenses.

5. Subscriptions & Payments

5.1 Subscription Plans

The Application offers a free tier with limited features and paid subscription plans with additional features and capabilities. Current subscription options and pricing are available on our pricing page.

5.2 Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com Market Limited ("Paddle") is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

When you purchase a subscription, you are purchasing from Paddle, but the Application is licensed to you by Craftby. By making a purchase, you agree to Paddle's Checkout Buyer Terms and Conditions, available at paddle.com/legal/checkout-buyer-terms.

5.3 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period until cancelled. You will be notified if subscription prices increase and, where required by law, we will seek your consent to continue.

5.4 Cancellation

You may cancel your subscription at any time. To avoid being charged for the next billing period, please cancel at least 48 hours before the renewal date. Upon cancellation, you will retain access to paid features until the end of your current billing period.

5.5 Taxes

As the Merchant of Record, Paddle is responsible for calculating, collecting, and remitting all applicable sales taxes, VAT, and other indirect taxes based on your location.

5.6 Price Changes

We reserve the right to change subscription prices at any time. Price changes will not affect existing subscriptions until renewal, and we will provide advance notice of any changes.

6. Refund Policy

Refund requests are handled by Paddle, our Merchant of Record. Please see our Refund Policy for complete details on requesting and qualifying for refunds.

7. Acceptable Use

You agree to use the Application only for lawful purposes and in accordance with these Terms. You agree not to:

  • Transcribe content you do not have the legal right to record or process
  • Violate any applicable laws or regulations
  • Infringe on the rights of others, including privacy and intellectual property rights
  • Redistribute, resell, or sublicense the Application
  • Reverse engineer, decompile, or disassemble the Application
  • Use the Application in any way that could damage, disable, or impair its functionality
  • Interfere with any other party's use of the Application

8. Disclaimer of Warranties

The Application is provided "AS IS" and "AS AVAILABLE", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Application will be error-free, uninterrupted, secure, or that it will meet your specific requirements.

Transcription Accuracy: Transcription accuracy depends on various factors including audio quality, background noise, accents, language complexity, and the capabilities of the underlying machine learning models. The Application should not be used as the sole source for critical, legal, medical, or professional transcriptions where accuracy is essential.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Craftby and Paddle shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or transcriptions
  • Loss of use of the Application
  • Business interruption
  • Personal injury or property damage

Our total liability to you for any claims arising from your use of the Application shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability shall be limited to the maximum extent permitted by law.

10. Termination

10.1 Termination by You

You may stop using the Application at any time by uninstalling it from your device and cancelling any active subscriptions.

10.2 Termination by Us

We reserve the right to terminate or suspend your license and access to the Application immediately, without prior notice, if you:

  • Violate these Terms of Service
  • Engage in fraudulent activity
  • Use the Application in a manner that could harm us, our users, or third parties

10.3 Effect of Termination

Upon termination, you must immediately cease all use of the Application and delete any copies from your devices. Sections of these Terms that by their nature should survive termination shall continue to apply, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Indemnification

You agree to indemnify, defend, and hold harmless Craftby, Paddle, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your use or misuse of the Application
  • Your violation of these Terms of Service
  • Your violation of any rights of another party
  • Content you transcribe using the Application

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Georgia, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Application shall be resolved in the courts of Georgia. However, we both agree to first attempt to resolve any disputes through good faith negotiation.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

  • Updating the "Last Updated" date at the top of this page
  • Sending an email notification to your registered email address (if applicable)
  • Displaying a prominent notice in the Application

Changes will be effective 30 days after publication for existing users. Your continued use of the Application after changes become effective constitutes acceptance of the new Terms.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Craftby regarding the Application.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

15.5 Language

These Terms are provided in English. If translated into other languages and there is a discrepancy between the English version and any translation, the English version shall prevail.
